1. Acceptance & Eligibility

By creating an account, registering for a subscription, or using the Service, you warrant that you are at least 18 years of age, possess the legal capacity to enter into binding agreements, and that all information submitted is accurate and complete. If you are signing up on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

2. Billing & Subscription Policy

Quant Promo provides subscription-based software-as-a-service. By selecting a subscription plan, you agree to the following terms:

• Secure Processing: All transactions are processed securely via our integrated third-party payment gateway, PhonePe. We do not store card details or payment credentials.
• Strict No-Refund Policy: Overseas Exim enforces a strict no-refund and no-cancellation policy once a payment is completed. Once payment is completed, it cannot be refunded under any circumstances. No pro-rated refunds are provided for partial months or unused service periods.
• Subscription Cancellations: You can cancel your active subscription plan at any time through your dashboard profile settings. Upon cancellation, the current subscription term will remain active until its expiration date, and the subsequent billing term will be cancelled from renewal.
• Social Network Authentication & OAuth Keys: To set up your account and allow daily automated post scheduling, you must share and link your social network access. Your official OAuth tokens and credentials will be securely stored and used to authenticate automated publishing on your behalf.
• Customer Support SLA: Our customer support requests will be addressed as early as 1 working day, up to a maximum of 10 working days, based on the priority of the issue and the availability of support agents.

3. Data Rights, AI Training & Operations

Quant Promo is an AI-powered automation platform. To deliver, maintain, and safeguard our services, you agree to the following usage of your data:

• Platform Training: You acknowledge and agree that the Company collects, processes, and stores input queries, captions, hashtag searches, system telemetry, and scheduling logs for the express purpose of training, calibrating, and optimizing our AI systems and machine learning models.
• Website Improvements & Bug Fixes: You agree that your usage data, activity logs, and connected account data may be processed to identify platform performance issues, troubleshoot software bugs, and develop general website improvements.
• Connected Channels: By integrating third-party social media accounts (Instagram, LinkedIn, X, etc.) via OAuth, you authorize Quant Promo to act on your behalf to publish media, read metadata, and synchronize feeds as requested.

4. Prohibited Uses & Governance

You may not use our Service for any illegal, abusive, or unauthorized purposes. Quant Promo reserves all rights to cancel a customer's plan and immediately revoke their access for misuse or abuse of data, the Quant Promo brand, violation of the Privacy Policy, or generating spam. In such cases of termination, no refunds will be provided.

5. Limitation of Liability & Warranty

Quant Promo is provided "as is" and "as available". We do not guarantee uninterrupted platform access or complete accuracy of AI-generated content. You agree to the following liability exclusions:

• Content Responsibility: Quant Promo is not responsible for the text, image, and video content uploaded, scheduled, or published by the customer. All content is the sole responsibility of the customer. Any violation of copyright, community guidelines, laws, or consequences thereof must be completely borne by the customer.
• Social Media Account Blocks: If a customer's connected social media account is blocked, suspended, or restricted by third-party platforms due to automated publishing or platform violation, Quant Promo and Overseas Exim shall not be held responsible or liable.
• Damages Limitation: Overseas Exim shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your use or inability to use the platform.

6. Governing Law & Jurisdiction

These Terms of Service and any transactions conducted on our platform are governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms or transactions shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
